ebuy-infinity vs Seller Agreement

Effective Date: September 1, 2025

1. Parties

This Agreement is entered into between:

This present agreement is established in order to set up a contractual relationship by and between: ebuy-infinity (hereinafter referred to as “ebuy∞”), an online marketplace incorporated in Bangladesh, Reg# 005804/2025; having its principal place of business at 60 North Dhanmondi, Dhaka -1205, and operates an online marketplace – at https://ebuy-infinity.com

And,

The Seller (“Seller”), being a sole proprietorship, partnership, or incorporated company legally registered in Bangladesh, holding all required licenses and permissions. Collectively referred to as the “Parties”.

2. Purpose & Scope:
a. ebuy-infinity operates a digital marketplace facilitating the listing, marketing, and sale of Seller’s products directly to buyers.
b. This Agreement governs the Seller’s use of the platform, operational obligations, payment terms, and compliance requirements.

3. Governing Laws:
All Seller activities under this Agreement shall comply with:
a. Digital Commerce Policy 2021 (Ministry of Commerce)
b. Consumer Rights Protection Act 2009
c. VAT & Supplementary Duty Act 2012 (National Board of Revenue)
d. ICT Act 2006 (as amended)
e. BSTI product safety and labeling regulations
f. Any other applicable laws of the People’s Republic of Bangladesh.

4. Marketplace Obligations:

ebuy-infinity shall:
a. Provide a secure platform for Sellers to list and sell products.
b. Facilitate order processing, payment collection, and remittance as per Clause 10.
c. Offer optional logistics, marketing, and promotional services.
d. Maintain confidentiality of Seller data and buyer data in compliance with ICT Act.

5. Seller Obligations:

The Seller shall:
a. Legal Compliance – Maintain valid trade licenses, TIN, VAT registration and bank account (if applicable), and all other required permits.
b. Product Authenticity – Sell only lawful, genuine, safe, quality full and non-expired products.
c. Accurate Listings – Keep all product descriptions, stock levels, and prices updated; all prices must be VAT-inclusive.
d. Order Fulfilment – Process and dispatch orders within agreed timelines using approved packaging.
e. Returns & Refunds – Accept and process returns as per Annex 2.
f. Logistics – For the Heavy Weight Items (where logistics costs are high) – Partial or free shipping funded by ebuy-infinity only when promotional offer will be provided (ToCs will be applied), or free/top-up shipping funded by seller (ebuy-infinity will provide a corporate agreement with logistic/courier company). Otherwise, usual delivery process will be continued.
g. Invoice, VAT, Tax and Imported Documents – Issue NBR-compliant invoices where applicable and bear all applicable taxes, even, for the imported items seller will be responsible for ensuring all relevant documents and holding it show any authority including ebuy-infinty management.
h. Buyer Data – Use buyer information only for fulfilling orders; not for marketing outside the platform.
i. Prohibited Conduct – Avoid counterfeit goods, prohibited items (Annex 3), fraudulent practices, and off-platform transactions.
j. Record Keeping – Maintain transaction records for a minimum of 6 years in compliance with VAT & tax laws.
k. Cooperation – Comply with ebuy-infinity’s lawful instructions and platform policies.
l. Packaging – There should be separate guidelines for the product packaging, seller will fully comply that, any changes will be adopted accordingly.

6. Intellectual Property:
a. Seller warrants product images, descriptions, and trademarks do not infringe third-party rights.
b. ebuy-infinity retains all rights to its platform, software, trademarks, and designs.
c. Unauthorized use of ebuy-infinity’s intellectual property is prohibited.

7. Product & Service Standards:
a. Seller must comply with BSTI standards, packaging, labeling, and expiration date requirements.
b. All warranties, guarantees, and after-sales commitments must be honored.
c. Provide copy, duplicate or fake items will be treated violation of commitments, cause of cancelation agreement and may procced for legal actions.

8. Compliance with Buyer Protection
a. Seller acknowledges rights of buyers under Consumer Rights Protection Act 2009.
b. Seller shall not engage in misleading advertising or unfair trade practices.

9. Dispute Resolution with Buyers:
a. Buyer complaints must be responded to within 48 hours.
b. Disputes unresolved within 5 business days as per Annex 4 process applies.
c. ebuy-infinity may issue refunds directly to buyers and adjust from Seller payouts.

10. Pricing, Availability & Order Processing
a. All prices are in Bangladeshi Taka (BDT), inclusive of VAT and commissions, and are set by the seller that is selling price of the product or service.
b. Shopping Cart prices reflect the most recent product detail page updates.
c. Sellers must not list prices higher than those on their own or affiliated platforms. Any such act will be treated as a breach of agreement.
d. ellers must not include phone numbers, addresses, logos, or media that allow direct buyer contact in product listings. Violation may lead to action by ebuy-infinity.

11. Commission & Payment Terms:
a. Commission rates are specified in Annex 1.
b. ebuy-infinity shall remit Seller payments weekly, maximum 1 week after delivery confirmation.
c. Payment will be made working days/banking days only to the nominated Seller’s bank account.
d. Buyers can make payment through debit, credit, bKash and others payment channel which will be affixed in the ebuy-infinity portal.
e. Payments will be net of commissions, penalties, taxes, refunds, and chargebacks.

12. Suspension & Penalties:
Intermission of any commitments, polices and code of conducts –
a. ebuy-infinity may suspend Seller accounts for policy violations, non-compliance, or legal breaches.
b. Penalties may apply as per Annex 5.
c. Repeated violations may result in termination without notice.

13. Liability & Indemnity:
a. Seller indemnifies ebuy-infinity against claims from defective, unsafe, or counterfeit goods.
b. ebuy-infinity is not liable for indirect losses; total liability is limited to commissions earned in the last 2 months.

14. Termination:
a. Either Party may terminate with 30 days’ written notice.
b. Immediate termination applies for fraud, counterfeit sales, or legal violations.
c. Seller remains liable for all pending obligations post-termination.

15. Acceptance:
By signing or electronically accepting, the Seller agrees to comply with this agreement and all annexures’ policies, which will be treated as an integral part of this agreement.
